Terms & conditions

1. Who these terms are with

These terms are between you (or the business you represent) and PRUD.in, operating from Delhi, India. Where a signed proposal or statement of work exists, that document governs the engagement, and these terms fill any gap it leaves.

2. Services

We provide digital marketing services including social media management, paid advertising, search engine optimisation, off-page link building, content and copywriting, graphic design, video and AI video production, influencer campaigns, messaging automation and web development. The exact scope, deliverables and timeline for your engagement are set out in your proposal.

3. Fees and payment

  • Retainers are billed monthly in advance, unless quarterly billing has been agreed.
  • Advertising spend is not included in our fee. It is paid by you directly to Meta, Google, LinkedIn or the relevant platform, from an account you own.
  • Invoices are due within seven days. Work may be paused on accounts more than 15 days overdue.
  • Prices are exclusive of GST, which is charged where applicable.
  • One-time projects require 50% in advance and the balance before final files are handed over.

4. What we need from you

  • Timely access to the accounts, assets and information the work depends on.
  • Feedback and approvals within a reasonable time — extended delays shift delivery dates.
  • Confirmation that any material you supply is accurate and that you hold the rights to it.
  • Compliance with the law and with platform policies in everything you ask us to publish.

5. Results

We commit to the scope, the effort and the method described in your proposal. We do not guarantee specific rankings, reach, follower counts, enquiry volumes or revenue, because these depend on platform algorithms, market conditions, your pricing and your own sales follow-up — none of which we control. Any figures quoted from past client work are examples, not promises.

6. Ownership

  • Ad accounts, business manager assets, domains, hosting and analytics properties are created in your name and remain yours.
  • Final deliverables — designs, videos, copy, code — transfer to you once the related invoice is paid in full.
  • Our internal templates, frameworks, processes and tooling remain ours.
  • Unless you ask us not to, we may show completed work in our portfolio and case studies.

7. Third-party platforms

Our work depends on platforms we do not control. Account suspensions, policy changes, algorithm updates, pricing changes and outages at Meta, Google, LinkedIn, WhatsApp or any other provider are outside our responsibility, though we will always help you resolve them.

8. Confidentiality

Each side will keep the other's non-public business information confidential and use it only for the purposes of the engagement. This survives the end of the engagement.

9. Ending the engagement

Either side may end a monthly engagement with 15 days written notice before the next billing date. SEO engagements carry a three-month minimum term. On termination, fees for work already performed remain payable, and we will hand over all accounts, files and assets within seven working days of the final invoice being settled.

10. Limitation of liability

To the extent permitted by law, our total liability arising out of the engagement is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect or consequential loss, including lost profits, lost data or business interruption.

11. Governing law

These terms are governed by the laws of India. The courts at Delhi have exclusive jurisdiction over any dispute. We will attempt good-faith discussion before either side commences proceedings.

12. Changes

We may revise these terms. The version published here on the date your engagement begins is the one that applies to it.
